  1. Covenant

    Before joining Havaianas Rewards, we highly encourage you to read these Terms and Conditions thoroughly. These Terms and Conditions (“Terms”) shall govern the issuance and use of Havaianas Rewards, a loyalty program owned by Terry S.A. Inc. (“Havaianas Philippines”).

    “Havaianas Rewards” is a loyalty program created by Havaianas Philippines to incentivize and thank loyal customers. The program is where they can enjoy earning points and redeem on any participating Havaianas and All Flip Flops stores and get bonuses as perks for being a member.

    When you visit our website https://havaianas.ph and access our mobile apps, access your profile, register your account with us, click “Register,” “Log-In,” “Sign In” or “Agree,” you enter into a contract with Havaianas Philippines.

    Further, by accessing, using, or registering with our website or availing any of our services, you agree to be bound by these Terms of Use, and you likewise agree to enter and use the features of our website as well as any of its pages at your own risk.

    If you do not agree with any of the terms contained in this Contract, or any of the items in this Terms of Use, please do not click “Register,” “Log-In,” “Sign In” or “Agree,” or use our website https://havaianas.ph, use any of our mobile apps, access any of our webpages, or register an account with us.


  2. Amendments to the Terms of Use

    Havaianas Philippines may from time to time, change the contents of this Terms of Use, or make updates and amendments to any of the terms and conditions contained herein.

    Havaianas Philippines shall inform you of any changes to the Terms of Use, by sending you notifications through the email address which you have used in registering with us, or by posting an announcement through our website or app.

    Changes in the Terms of Use shall be applied after you have been notified. If you do not agree to any provisions of the Terms of Use, you must discontinue using our website, using any of our mobile app, or availing any of our services. If you have already registered an account, and wish to discontinue using your account on our website, discontinue using any of our mobile apps, or availing any of our services, you may opt to close your account.

    If you continue to use, access, log-in, or avail of our services, after you have been notified of the changes to the Terms of Use, you are deemed to have accepted the Terms of Use including its changes, if any.


  3. General Use of Services
    1. You agree to comply with any and all the guidelines, notices, operating rules and policies and instructions pertaining to the use of the Services and/or access to https://havaianas.ph, as well as any amendments to the aforementioned, issued by us, from time to time. We reserve the right to revise these guidelines, notices, operating rules and policies and instructions at any time and you are deemed to be aware of and bound by any changes to the foregoing upon their publication on the Havaianas Philippines website.

    2. Qualification, Registration, and Validity

      To be an eligible member, a customer must register through Havaianas physical stores (over-the-counter) or on the website (https://havaianas.ph). For in-store registration, a QR code is available at any participating Havaianas and All Flip Flops stores and must be scanned to direct customers to a page where they may register. For applications through the website, customers must complete the required fields to sign up and log-in their account. Information such as the following are required in signing up.

      1. Complete Name
      2. Mobile Number
      3. Birthday
      4. Address (Optional)
      5. Gender (Optional)
      6. Flip Flop Size (Optional)
      7. Email Address
      8. Location (Optional)

      You must at least be eighteen (18) years of age when you avail of our services. When you use our website, use any of our mobile apps, register, or avail of our services you represent and warrant that:

      1. You are at least eighteen (18) years of age, and with full capacity to enter into contracts including this Terms of Use;
      2. Any and all the information you provide us are true and correct, and based on your own personal knowledge, or records in your possession;
      3. You agree to the provisions in our Terms of Use;
      4. You have only created one account for each type of account, with us;
      5. You also agree that Havaianas Philippines shall have the right to validate your information, through legal means, such as, but not limited to, conducting an inquiry to ascertain your true identity, making calls to your references, and conducting a background check with your previous employers, and cross checking your information, with any other references which could be acquired legally, or publicly available.

      If Havaianas Philippines finds any of the information that you provide us to be false, or if you have committed any fraudulent act against Havaianas Philippines, such acts would be considered as violations of this Terms of Use, and shall entitle Havaianas Philippines to suspend your account, delete your account, or block you by any means, such as, but not limited to, blocking your “Internet Protocol” address.

      The member is responsible for safeguarding the username and password of the online account, and for any activities or actions under said account. Havaianas is authorized to assume that any person using the account is either the member or is authorized to act on behalf of him/her.


  4. Creating your password
    1. Password. During registration, you would be asked to create a strong password. The password that you choose shall be used by you every time you access your account, use any of our mobile apps, avail of our services, or log-in into your account.

      You are solely responsible for the confidentiality and secrecy of your password. You must not share, disclose, or divulge, your password to any one, in order to protect yourself.

      Havaianas Philippines will not share or disclose your password with any person, including its own personnel, nor will any of Havaianas Philippines personnel be entitled to ask for your password from you.

      If you believe that someone else knows your password, or if you believe that it has been disclosed to someone who is not entitled to any knowledge to the same, you must inform Havaianas Philippines as soon as possible so that Havaianas Philippines could make the necessary changes and suspend or terminate your account.

      Should Havaianas Philippines have any reason to believe that there has been a breach of security, or misuse of the website, or any of its mobile apps, and such has been traced to your account, Havaianas Philippines shall have the right to suspend, terminate, or delete your account at its sole discretion.

      If you have lost or forgotten your password and are unable to reset or change it following the instructions on the website or mobile app, you must contact Havaianas Philippines immediately so that your password could be reset or changed. If you have lost or forgotten your password, any loss to your information on our website or in any of our mobile apps, as well as any damage you might incur shall be for your own account.

    2. Information. In creating your account, you will be advised to fill-in blanks which are marked as “Required Field/s.” You must complete the details needed for the required fields, otherwise, Havaianas Philippines may not be able to provide its services to you. If you do not agree to provide the information asked for in the “Required Field/s,” your account may be denied registration, and you would not be able to avail of the services of Havaianas Philippines.

      We may also ask personal information from you every time you update your account.

      Any personal information which you share with us during registration or in any other instance, would be kept confidential and will be shared only to Havaianas Philippines whose identities have been verified by it. When you share your information with us, you also agree to be bound by the terms contained in our Privacy Notice.


  5. Points Earning, Redemption, and Validity
    1. A member shall earn Havaianas Rewards points for every valid purchase transaction. This refers to the mechanics of the program: For every PHP 200, a member is entitled to earn 1 point. Points shall be earned for transactions with less than PHP 200 amount (0-199) as well. See sample scenario below.

      A member purchased a total amount of P150.00. He/She can still earn 0.75 rewards points.

    2. For qualified transactions where discount is applied, points shall be based on the amount after discounting.

    3. Points earned within a specific period shall expire at a specific date. Expiration of points should take effect earning year after registration. Kindly refer to the illustration below:

    4. Points shall be credited every after successful transaction for in-store transactions. If a member encounters issues, members may contact Havaianas Customer Care Team through email ([email protected]) or website (https://havaianas.ph/pages/contact-us). Members may also reach out by messaging through Facebook @havaianasphilippines and Instagram @havaianas.philippines.

    5. Havaianas Rewards team reserves the right to adjust points earned, regardless of type of adjustment: addition or deduction of points, if the transaction is deemed to be canceled or refunded.

    6. A member may redeem points for their purchases in the following stores:

      1. Participating Havaianas
      2. Participating All Flip Flops stores
      3. Havaianas.ph
    7. Points can be used on discounted or marked-down items.

    8. Havaianas Rewards is a 3-tier program which gives out perks based on qualified tier. Each tier (except Bronze) has a required accumulated spend within a year after sign-up. A member must maintain at least within the level of the qualifier to enjoy benefits. However, if not maintained, downgrade should apply. See sample upgrade and downgrade scenarios below.

    9. Points redeemed shall not be restored. Unless the items are tagged as “returned”, members shall be awarded points to be refunded/credited but subject to Havaianas Return and Exchange Policy.


  6. Points Clearing for Orders at Havaianas.ph (Online)

    Points shall be earned within 15 days once the order has been delivered. If a member encounters issues, members may contact Havaianas Customer Care Team through email ([email protected]) or website (https://havaianas.ph/pages/contact-us). Members may also reach out by messaging through Facebook @havaianasphilippines and Instagram @havaianas.philippines.


  7. Limitations on Points Earning and Redemption

    Members shall be aware of the following limits set by Havaianas Rewards to ensure any transactions made are not fraudulent but valid. Refer to the table below.

    Earning of points shall automatically be suspended for any transactions or sales amount exceeding the limits and shall be credited upon account investigation or once proven valid under a specific account. Please be advised on the necessary actions for fraudulent accounts on Section 9, Suspension and Cancellation.

    There are no limitations in redeeming the points. However, points redemption will be suspended if the system has any technical problems, such as problems with the internet connection or with the system itself.


  8. Birthday Coupons

    Birthday coupons are a one-time use 20% discount coupon for regular-priced pairs only and a 10% discount coupon for regular-priced accessories. Coupons are given and valid during a member’s birth month. Members shall be entitled to birthday coupons which he/she may redeem at any Havaianas and All Flip Flops branch.


  9. Dormant Account

    Any Havaianas Rewards Account will be considered dormant if a member does not have any transactions, credit redemptions, or web or mobile logins over a 36-month period. Havaianas Rewards points in dormant accounts shall be forfeited and the account deleted from the program. Under any circumstances, the member account shall not be transferable to another member account.


  10. Card Replacement

    Members must immediately inform Havaianas Rewards team in case of a lost, damaged, or stolen card. Members should send an email at [email protected] or contact the rewards team through the website (https://havaianas.ph/pages/contact-us). Upon receipt of concern, membership will be verified through personal information given upon sign-up and shall proceed to suspension of account. Prior confirmation, Havaianas Rewards team will not be responsible for any losses in the account of the requesting member. Personal Information such as the following will be required in order to verify the account.

    1. Complete Name
    2. Mobile Number
    3. Birthday
    4. Last Transaction (Optional)

    Card replacement may be issued and unredeemed points in the lost, damaged, or stolen card will be carried over to the replacement card.


  11. Suspension and Cancellation

    For any deemed fraudulent transaction or any suspected abusive transactions by an unauthorized person, subject to sole discretion, Havaianas shall have the right to suspend or terminate a member account and reserves the right to forfeit or cancel points relating to the use.

    Members should acknowledge the authority of Havaianas to suspend, forfeit, or cancel earned points accordingly. Havaianas shall be free and harmless against any and all consequences of such suspension, barring, forfeiture or cancellation, or any loss or damage which a member may suffer as a result thereof. And accept that Havaianas Rewards may, but shall not have the obligation to, inform a member prior to taking action pursuant to this clause.


  12. Termination of the Program

    Members have the right to cancel enrollment in the program at any time, for any reason and Havaianas reserves the right to terminate this program at any time. Program shall continue until terminated at the sole discretion of the company. In the event Havaianas decides to terminate the program, it shall post notice of such termination and all rewards must be redeemed prior to the effective date of termination. If such termination is due to technical or procedural problems in the operation of the program, Havaianas Rewards shall not be required to give notice of termination and shall discontinue the program immediately.


  13. Marketing Communications and Promotions

    Members shall agree to provide any personal information related to the use of Havaianas Rewards Account. Members shall acknowledge and agree that Havaianas Rewards may use such information for related purposes not limited to conducting research and analysis, promotions, and communications to improve member experience. If a member no longer wants to receive any promotional communications from Havaianas Rewards, he/she may cancel his/her membership at any time.


  14. Liability

    Havaianas will not accept any liability for any claim, suit, or proceeding of whatever nature or any ordinary, direct, indirect, consequential, incidental, special, punitive, or exemplary damages which may arise or result from the use of the points and benefits from Havaianas Rewards.


  15. Intellectual Property
    1. Ownership: The Intellectual Property in and to Havaianas and all related materials are owned, licensed to or controlled by us, our licensors or our service providers. We reserve the right to enforce its Intellectual Property to the fullest extent of the law.

    2. Restricted use: No part or parts of Havaianas or any of its materials may be reproduced, reverse engineered, decompiled, disassembled, separated, altered, distributed, republished, displayed, broadcast, hyperlinked, mirrored, framed, transferred or transmitted in any manner or by any means or stored in an information retrieval system or installed on any servers, system or equipment without our prior written permission or that of the relevant copyright owners. Subject to Clause 4.3, permission will only be granted to you to download, print or use the materials for personal and non-commercial uses, provided that you do not modify the materials and that we or the relevant copyright owners retain all copyright and other proprietary notices contained in the materials.

    3. The Trademarks are registered and unregistered trademarks of us or third parties. Nothing on the Havaianas website and in these Terms of Use shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use (including as a meta tag or as a “hot” link to any other website) any Trademarks displayed on the Services, without our written permission or any other applicable trademark owner.


  16. Data Collection and Privacy

    Havaianas Rewards shall not disclose the members’ personal information without their consent and shall retain this information until such time that a member would like to withdraw their membership. Thus, Havaianas Rewards shall recognize their responsibilities under the Republic Act No. 10173 (Act), also known as the Data Privacy Act of 2012, with respect to the data they collect, record, organize, update, use, consolidate, suspend, or destruct from the members.

    Any personal data collected from registration of members shall be stored within the organization’s system and will only be accessed by Havaianas Rewards’ authorized personnel. In joining the program, a member agrees and expresses his/her consent for Havaianas Rewards to collect, record, organize, update or modify, retrieve, use, consolidate, suspend, or destruct his/her personal data as part of the information required.


  17. Fortuitous Events or Force Majeure

    Havaianas will not be liable or responsible for any failure to perform or delay in performance of any of the obligations under a contract that is caused by fortuitous events or force majeure. Such events shall include any act or event beyond reasonable control and shall include the following, among others:

    1. Strikes, lock-outs or other similar disturbances.
    2. Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war or threat or preparation for war.
    3. Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disasters or calamities.
    4. Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
    5. Impossibility of the use of public or private telecommunications networks.
    6. The acts, decrees, legislation, regulations or restrictions of any government.

  18. Waiver

    In failure of Havaianas to enforce at any time any provision of these terms, or to exercise any of rights or options, or to require at any time performance of any of the obligations under these terms or under a contract, shall not be construed to be a waiver of such provisions and shall not affect the validity of the contract between the member and Havaianas Rewards. A waiver of any default shall not constitute a waiver of any subsequent default. No waiver of any of these terms shall be effective unless it is expressly stated to be a waiver and is communicated to the member in writing.


  19. Governing Law

    Use of Havaianas website and/or the Services and these Terms of Use shall be governed by and construed in accordance with Philippine laws. If any dispute arises in connection with these Terms of Use, the Parties shall attempt, in fair dealing and in good faith, to settle such dispute. If the Parties are not able to reach an amicable settlement they shall try to agree on an appropriate ADR proceeding (for example mediation, conciliation, expert determination, dispute board, adjudication). If they do not reach agreement on the appropriate ADR proceeding within 14 days after failure of the settlement negotiations or if the dispute is not settled through an ADR proceeding within a period of two months after initiation of the ADR preceding, each Party may initiate an arbitration proceeding pursuant to the following paragraph.

    All disputes arising out of or in connection with the present contract, including any question regarding its existence, validity or termination, shall be finally settled in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (“PDRCI”) for the time being in force, which rules are deemed incorporated by reference into this clause. The arbitral tribunal shall consist of three arbitrators to be chosen in accordance with the rules of the PDRCI. The seat of arbitration shall be the Philippines. The procedural law of this seat applicable to commercial arbitration proceedings shall apply where the Rules are silent. The language to be used in the arbitration proceedings shall be English.


  20. Binding and Conclusive

    You acknowledge and agree that any records (including records of any telephone conversations or SMS relating to the Services, if any) maintained by us or our service providers relating to or in connection with the Services shall be binding and conclusive on you for all purposes whatsoever and shall be conclusive evidence of any information and/or data transmitted between us and you. You hereby agree that all such records are admissible in evidence and that you shall not challenge or dispute the admissibility, reliability, accuracy or the authenticity of such records merely on the basis that such records are in electronic form or are the output of a computer system, and you hereby waive any of your rights, if any, to so object.
